Welcome to Teleperson, Inc. (“Teleperson,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of our software-as-a-service (SaaS) platform (the “Service”), including purchases made through our website. By accessing, using, or purchasing access to the Service, you (“User,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, please do not use or purchase the Service.

1. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use or purchase the Service. By doing so, you represent that you meet these requirements.

  • By You: You may terminate your account or subscription at any time by contacting us or following the process in your account settings. No refunds will be issued for the remaining billing cycle unless required by law.
  • By Us: We may suspend or terminate your access to the Service at our discretion, with or without notice, for violation of these Terms (e.g., non-payment, misuse) or for any other reason.
  • Effect: Upon termination, your right to use the Service ends, and we may delete your account data, subject to legal retention requirements.
8. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Service or payment processing will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the fullest extent permitted by law, Teleperson, Inc., its affiliates, and their respective officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, payment disputes, or data breaches, even if advised of the possibility of such damages. Our total liability to you will not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Teleperson, Inc. and its affiliates from any claims, damages, or losses arising from your use of the Service, payment disputes, or violation of these Terms.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware. You agree to submit to the jurisdiction of those courts. However, if you are an EU or UK resident, mandatory consumer protection laws in your jurisdiction may apply.

12. GDPR – Additional Provisions for EU and UK Residents

If you are located in the EEA or UK, the following apply:

  • Data Processing: We process your personal data (including payment data) in accordance with our Privacy Policy and GDPR requirements. You may exercise your data rights as outlined therein.
  • Consumer Rights: These Terms do not limit any non-waivable statutory rights under EU or UK law, such as rights to refunds or cancellations under certain conditions.
13. CCPA – Additional Provisions for California Residents

If you are a California resident, the following apply:

  • Non-Discrimination: We will not discriminate against you for exercising your CCPA rights (e.g., by denying service or charging different prices).
