Welcome to Teleperson, Inc. (“Teleperson,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of our software-as-a-service (SaaS) platform (the “Service”), including purchases made through our website. By accessing, using, or purchasing access to the Service, you (“User,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, please do not use or purchase the Service.

1. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use or purchase the Service. By doing so, you represent that you meet these requirements.

2. Account Registration

To use or purchase the Service, you must register an account by providing your email address, first name, last name, phone number, and indicating whether you are a consumer or company. You agree to provide accurate and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

3, License to Use the Service

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or business use, subject to these Terms and payment of applicable fees. You may not sublicense, sell, or otherwise distribute access to the Service.

4. Subscription, Fees, and Payment

Payments are processed by a third-party payment processor (e.g., Stripe, PayPal) in U.S. dollars.   • Fees: Subscription plans, fees, and billing cycles (e.g., monthly, annually) will be detailed on the website or in your account settings. All fees are non-refundable except as outlined below or required by law.
  • Failed Payments: If a payment fails (e.g., due to an expired card), we may suspend your access to the Service until payment is successfully processed. You agree to update your payment information promptly if requested.
  • Taxes: Fees exclude applicable taxes (e.g., sales tax, VAT). You are responsible for any taxes levied on your purchase, which may be added to the total at checkout.
  • Cancellation and Refunds: You may cancel your subscription at any time via your account settings or by contacting us. Upon cancellation, your access will continue until the end of the current billing cycle, and no prorated refunds will be issued unless required by law. We reserve the right to offer refunds at our discretion.
  • Fee Changes: We may modify subscription fees with prior notice (e.g., via email or on our website). Continued use or renewal after such changes constitutes your acceptance.

5. Acceptable Use

You agree not to:

  1. Use the Service for any illegal or unauthorized purpose.
  2. Reverse engineer, decompile, or attempt to extract the source code of the Service.
  3. Interfere with or disrupt the Service (e.g., through hacking or introducing malware).

6. Intellectual Property

All content, features, and functionality of the Service (including software, designs, and trademarks) are owned by Teleperson, Inc. or its licensors and are protected by U.S. and international intellectual property laws. 7. Termination
  • By You: You may terminate your account or subscription at any time by contacting us or following the process in your account settings. No refunds will be issued for the remaining billing cycle unless required by law.
  • By Us: We may suspend or terminate your access to the Service at our discretion, with or without notice, for violation of these Terms (e.g., non-payment, misuse) or for any other reason.
  • Effect: Upon termination, your right to use the Service ends, and we may delete your account data, subject to legal retention requirements.
8. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Service or payment processing will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the fullest extent permitted by law, Teleperson, Inc., its affiliates, and their respective officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, payment disputes, or data breaches, even if advised of the possibility of such damages. Our total liability to you will not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Teleperson, Inc. and its affiliates from any claims, damages, or losses arising from your use of the Service, payment disputes, or violation of these Terms.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware. You agree to submit to the jurisdiction of those courts. However, if you are an EU or UK resident, mandatory consumer protection laws in your jurisdiction may apply.

12. GDPR – Additional Provisions for EU and UK Residents

If you are located in the EEA or UK, the following apply:

  • Data Processing: We process your personal data (including payment data) in accordance with our Privacy Policy and GDPR requirements. You may exercise your data rights as outlined therein.
  • Consumer Rights: These Terms do not limit any non-waivable statutory rights under EU or UK law, such as rights to refunds or cancellations under certain conditions.
13. CCPA – Additional Provisions for California Residents

If you are a California resident, the following apply:

  • Non-Discrimination: We will not discriminate against you for exercising your CCPA rights (e.g., by denying service or charging different prices).

14. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on our website with a revised “Effective Date.” Your continued use of or subscription to the Service after changes are posted constitutes your acceptance of the updated Terms.
